TERMS OF SERVICE

1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and JAM Platform LLC (“Jamcard”, “we”, “us”, “our”).
These Terms govern your access to and use of:
- the Jamcard mobile application,
- the Jamcard website and web dashboard,
- application programming interfaces (APIs), SDKs, widgets, and integration modules,
- any tools, features, content, notifications, or functionality made available by us
(collectively, the “Services”).
1.1 Nature of the Jamcard Platform
Jamcard operates as a technology and integration platform, providing user interfaces and technical tools that allow you to interact with independent third-party providers. Jamcard itself is not a financial service provider and does not engage in any activity that requires banking, payment, securities, or money transmission licensing.
Specifically, Jamcard:
- is not a bank, money services business, or financial institution;
- does not issue or manage debit, credit, or prepaid cards;
- does not custody, hold, or safeguard fiat or digital assets;
- does not process fiat payments, on-ramps, or off-ramps;
- does not execute blockchain transactions on your behalf;
- does not perform KYC (Know Your Customer), AML (Anti-Money Laundering), or sanctions screening;
- does not provide financial, investment, tax, trading, or legal advice.
Jamcard functions solely as an interface layer that facilitates access to external services. Any regulated operations—including identity verification, card issuance, transaction processing, or compliance checks—are performed exclusively by licensed third-party partners under their own legal obligations, terms of service, and privacy policies.
1.2 Third-Party Providers and Independent Service Layers
The Services may link to, embed, or rely on third-party systems such as:
- KYC/AML verification providers,
- card program operators and payment processors,
- blockchain networks and wallet connectors,
- liquidity and swap providers,
- market data and analytics tools,
- cloud hosting and communication services.
When you interact with these systems, you acknowledge that you are establishing a separate relationship with those providers. Jamcard does not control, endorse, or assume responsibility for:
- their decisions or service outcomes,
- any financial transactions or approvals,
- any compliance determinations (KYC/AML decisions),
- their performance, availability, or data handling practices.
Each provider operates under its own terms of use, privacy policy, and regulatory framework, which you are responsible for reviewing.
1.3 Binding Agreement
By:
- creating a Jamcard account,
- accessing or using any portion of the Services,
- connecting a wallet or interacting with third-party modules,
- clicking “Agree”, “Continue”, or similar buttons in the app,
you confirm that:
- You have read these Terms in full.
- You understand the scope and limitations of Jamcard’s role.
- You accept and agree to be legally bound by these Terms.
- You also accept the terms, policies, and conditions of third-party providers where applicable.
If you do not agree to these Terms or do not wish to be bound by them, you must not use the Services.
1.4 Updates to the Terms
Jamcard may modify or update these Terms at any time.
If we make material changes, we will notify you via in-app messaging, email, or website notice prior to their effective date.
Your continued use of the Services after updated Terms become effective constitutes acceptance of those changes.
2. Company and Jurisdiction

Unless otherwise required by applicable law, these Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
3. Description of the Service
Jamcard is a non-custodial, non-financial technology platform that provides an interface for interacting with various third-party providers. The platform does not hold user funds, custody private keys, perform regulated financial services, or make any financial decisions on behalf of users. Instead, Jamcard operates as an integration and orchestration layer, enabling users to conveniently access external services through a unified experience.
Through the Services, Jamcard may provide the following functionality:
3.1 User Interface and Dashboard
Jamcard offers a unified interface that allows you to navigate features, view activity summaries, review connected services, and manage your account preferences.
3.2 Wallet Connection and Asset Information
You may connect supported crypto wallets using third-party wallet connectors. Jamcard may display:
- public wallet addresses;
- token balances;
- NFT metadata;
- other publicly accessible blockchain information.
Jamcard does not control, custody, or store your private keys, seed phrases, or wallet access credentials.
3.3 Integration with Third-Party Card Programs and Crypto Providers
The Services may enable you to initiate or access:
- card issuance and card program dashboards,
- crypto liquidity and swap providers,
- blockchain networks,
- on-chain and off-chain services,
- fiat/crypto on-ramps and off-ramps.
These services are offered and operated exclusively by independent licensed partners, each under their own terms.
3.4 KYC/AML Routing
Jamcard may collect minimal onboarding information for the purpose of routing you to a licensed identity verification provider.
All KYC/AML checks—including document processing, biometric verification, sanctions screening, and approval or rejection—are performed solely by external regulated partners, not by Jamcard.
Jamcard receives only limited verification results (such as “approved”, “pending”, “failed”) and does not store or process underlying KYC documents.
3.5 Market Data and Token Analytics
The platform displays informational content sourced from third-party data providers, including:
- token descriptions,
- price charts and market trends,
- trading volume and liquidity metrics,
- AI-generated summaries,
- NFT or protocol metadata.
Data accuracy is subject to the original source, and Jamcard does not guarantee completeness or correctness of such information.
3.6 Communication and Notifications
Jamcard may deliver:
- in-app messages,
- notifications from partner services,
- operational, onboarding, or security alerts.
Some messages may originate from third-party partners but be delivered through Jamcard for user convenience.
3.7 Jamcard’s Role as a Marketplace and Integration Layer
Jamcard acts as a marketplace-style interface that facilitates your interactions with independent service providers. Jamcard:
- does not issue cards;
- does not approve or reject KYC applications;
- does not execute financial or blockchain transactions;
- does not hold or manage user assets;
- does not conduct compliance checks;
- does not provide investment or trading advice.
All regulated, financial, or compliance-sensitive operations are performed by our partners based on their own regulatory obligations, risk policies, customer agreements, and privacy practices.
You acknowledge that your relationship with each partner is separate and governed by that partner’s own Terms of Service and Privacy Policy.
4. Third-Party Services and Partner Terms
The Services may enable you to access, connect to, communicate with, or otherwise interact with independent third-party platforms, applications, tools, and service providers (collectively, “Partner Services”). These Partner Services are not operated or controlled by Jamcard. Their availability, functionality, and terms are defined solely by the respective providers.
Partner Services may include (but are not limited to):
- identity verification and compliance platforms,
- card issuers and payment program operators,
- blockchain networks and wallet connection tools,
- data analytics and communication providers,
- cloud hosting and infrastructure vendors.
4.1 Independent Relationship With Partners
When you initiate or use any Partner Service—whether directly within the Jamcard interface or by being redirected to an external site—you acknowledge and agree that:
- You are entering into a direct, independent contractual relationship with that partner.
- The partner’s own Terms of Use, Privacy Policy, and regulatory obligations govern your interaction with the Partner Service.
- Jamcard does not supervise, control, validate, or guarantee
- the partner’s decisions (including KYC/AML outcomes),
- the accuracy or completeness of partner-provided information,
- the availability or reliability of their systems,
- the security practices of the partner,
- any fees, charges, or costs imposed by the partner,
- any transactions or actions performed through the partner’s systems.
- You must review and accept the partner’s own legal documents before using their services.
Jamcard merely facilitates technical connections and does not provide, endorse, or assume responsibility for the Partner Services.

This list is illustrative and does not limit Jamcard’s ability to add or remove integrations.
4.3 Jamcard’s Responsibility and Limitations
To the maximum extent permitted by applicable law, you acknowledge and agree that:
- Jamcard does not guarantee the accuracy, quality, legality, safety, or appropriateness of any Partner Service or content provided by partners.
- Jamcard is not liable for:
- any errors, delays, downtime, unavailability, or failures of Partner Services;
- any decisions made by partners (including KYC/AML approval or rejection);
- any financial losses, fees, penalties, or damages resulting from partner actions or inactions;
- the partner’s compliance with laws, regulations, or security standards.
- Jamcard does not mediate disputes between you and Partner Services.
- Jamcard does not have authority to modify, influence, override, or appeal decisions made by partners.
Your use of Partner Services is entirely at your own discretion and risk.
4.4 Changes to Partner Services
Partners may modify, update, restrict, or discontinue their services at any time. Jamcard has no obligation to continue supporting any partner integration and may remove or replace partners as needed for operational, legal, or security reasons.
4.5 No Agency or Representation
You acknowledge and agree that:
- Jamcard is not an agent, representative, intermediary, broker, legal custodian, payment facilitator, or financial service provider on behalf of any Partner Service;
- Jamcard does not act as an agent for you or for any partner in connection with onboarding, KYC/AML checks, card issuance, transaction initiation, or any other regulated or operational activity;
- Jamcard does not endorse, control, supervise, or guarantee any decisions, actions, or obligations of Partner Services;
- no partnership, joint venture, employment, fiduciary relationship, or agency relationship is created between Jamcard and any Partner Service solely through the integration or display of partner features within the Services;
- Jamcard does not have authority to make commitments, representations, warranties, or guarantees on behalf of any partner, nor may any partner make commitments on behalf of Jamcard.
For the avoidance of doubt:
- All financial, compliance, or identity-verification decisions are made exclusively by the respective licensed partner.
- Jamcard cannot modify, override, appeal, or influence any decision made by a Partner Service.
- No communication from Jamcard shall be interpreted as legal, financial, or regulatory representation of a partner’s interests.
Your interactions with Partner Services are governed solely by your independent agreements with those partners.
5. Eligibility and User Requirements
By using the Services, you represent and warrant that:
- Age: You are at least 18 years old or the legal age of majority in your jurisdiction.
- Legal capacity: You have the full right, power, and authority to enter into these Terms.
- Jurisdiction: You are not located in, or a citizen/resident of, any jurisdiction where use of the Services or Partner Services would be illegal or prohibited by law (including sanctioned countries, where applicable).
- Lawful use: You will use the Services only in compliance with applicable laws (including but not limited to anti-money laundering, sanctions, and financial regulations) and these Terms.
We may, at our sole discretion, restrict or deny access to the Services in certain jurisdictions or for certain users where we believe such use would pose legal, regulatory or security risk.
6. Account Registration and Login
6.1 Information Required
To create a Jamcard account, you must provide:
- email address;
- password;
- optionally, name and profile photo/avatar.
You may also log in or register using supported social or identity providers, including but not limited to:
- Google Account
- Apple ID
- X (Twitter)
- Matrix ID
- Keycloak/Auth0-supported identities
Phone number is not required for basic registration, but may be required later by external KYC/AML partners. Only valid, non-temporary phone numbers are accepted for verification. Virtual or disposable numbers may be rejected.
6.2 Account Security
You are solely responsible for:
- maintaining the confidentiality of your login credentials;
- securing access to your devices and wallets;
- all activities performed under your account.
You agree to:
- notify us immediately at support@jamcard.io if you suspect any unauthorized use of your account or security breach;
- ensure your registration information remains accurate, complete, and up-to-date.
Jamcard is not liable for any loss resulting from unauthorized access caused by your failure to safeguard your credentials or devices.
6.3 KYC/AML and Full Functionality
Certain features of the Services — including, but not limited to, card issuance, fiat on-ramp and off-ramp operations, access to regulated financial tools, and specific partner integrations — may only be available after successful completion of Know Your Customer (“KYC”) and Anti-Money Laundering (“AML”) verification performed by SumSub or other licensed identity verification providers (“KYC Providers”).
6.3.1 KYC Performed by Licensed Partners
- All KYC/AML checks, including document collection, biometric verification, sanctions screening, risk scoring, and approval decisions, are conducted exclusively by the KYC Provider, not by Jamcard.
- Jamcard does not view, store, validate, or process your identification documents, biometric data, PEP status, criminal record information, or any sensitive data submitted during verification.
- Jamcard receives only a minimal verification result, such as “approved”, “pending”, “rejected”, or “additional information required”.
6.3.2 Access to Features Conditional on Verification
Your access to certain features may be restricted, suspended, or unavailable until the KYC Provider confirms successful verification. Jamcard may limit or deny access to features if:
- KYC/AML is not completed, or the user abandons the verification process;
- KYC/AML is rejected by the KYC Provider for any reason (including mismatched information, failed biometric checks, sanctions/PEP indicators, or regulatory constraints);
- Required information is incomplete, inaccurate, or not provided in a timely manner;
- Additional verification steps requested by the KYC Provider are not fulfilled;
- The KYC Provider indicates that providing regulated services to the user may be prohibited under applicable laws or risk policies.
6.3.3 Jamcard Has No Control Over KYC Decisions
You acknowledge that:
- Jamcard has no influence, authority, or ability to alter, override, appeal, accelerate, or reverse decisions made by the KYC Provider.
- All verification outcomes, risk assessments, and compliance determinations are the sole responsibility of the KYC Provider acting under its own legal obligations.
- Jamcard cannot permit access to regulated features if the KYC Provider declines or fails to verify your identity.
6.3.4 Re-Verification and Ongoing Monitoring
Regulated partners may require:
- periodic re-verification,
- updated documentation,
- additional checks due to regulatory, risk, or sanctions-related reasons.
Failure to comply may result in loss of access to corresponding features at any time.
7. User Responsibilities and Acceptable Use
You agree to use the Services lawfully, fairly, and in good faith. In particular, you agree that you will not:
- Use the Services for any illegal, fraudulent, or harmful activity, including money laundering, terrorist financing, sanctions evasion, or other financial crimes.
- Create multiple accounts for the same person without justification, or impersonate any other person or entity.
- Sell, transfer, or otherwise share your account or access credentials with third parties.
- Upload, post, transmit or share any content that is unlawful, offensive, abusive, defamatory, discriminatory, misleading, or otherwise harmful.
- Interfere with, disrupt, or exploit the Services, APIs, smart contracts or any underlying infrastructure, including through hacking, reverse engineering, or denial-of-service attacks.
- Circumvent or attempt to circumvent security or access controls.
- Use bots, scrapers, or automated tools to extract data from the Services except as permitted via documented APIs and with our consent.
- Violate any applicable law, regulation, or third-party rights (including privacy and intellectual property rights).
We reserve the right to investigate, suspend, or terminate accounts and access where we suspect or detect any violation of these Terms or applicable law.
8. User Rights and Use of the Interface
Subject to these Terms and any partner conditions, you may:
- create and maintain an account;
- use the basic platform functionality (e.g. viewing balances, market data, dashboards) free of charge;
- connect external wallets and view public blockchain data;
- connect to card services provided by CipherBC or other partners;
- use available tools to interact with supported Partner Services;
- use in-app chats or communication features where available.
Your rights to use the Services are non-exclusive, non-transferable, and revocable at any time as provided in these Terms.
9. Jamcard’s Role, Rights and Obligations
Jamcard operates solely as a technology platform and integration layer. We do not provide regulated financial services, do not act as a custodian, and do not participate in financial decision-making. Our role is limited to providing the interface and technical tools that allow you to interact with independent third-party partners.
Below is a description of what Jamcard does and does not do.
9.1 What Jamcard Does
1. Provides the platform “as is”
We make the Jamcard platform, application, dashboard, and integrations available to you on an “as is”, “as available” basis.
We do not guarantee uninterrupted access, perfect performance, or error-free operation.
Functionality may vary depending on device type, region, partner availability, or system load.
2. May modify or discontinue features
We retain the right, at our sole discretion and without prior notice, to:
- update, patch, or improve the Services;
- add, modify, or remove integrations with partners;
- roll out new features or disable existing ones;
- change user interface components, workflows, or technical requirements.
Some features may be experimental, limited in availability, or subject to change.
3. Implements reasonable security
We use industry-standard technical, organizational, and physical measures to:
- safeguard Personal Data;
- prevent unauthorized access;
- maintain the stability and reliability of the platform;
- protect against security incidents.
While we take security seriously, no system is entirely risk-free.
4. May suspend or terminate access
We may suspend, restrict, or permanently terminate your account or access to specific features if:
- you violate these Terms;
- you violate applicable laws or regulations;
- you engage in fraudulent, abusive, or suspicious activity;
- we receive information suggesting non-compliance or elevated risk;
- you fail to complete required KYC/AML steps requested by licensed partners;
- continued access would create security, legal, or operational risk.
Suspensions may occur without prior notice when necessary for safety, compliance, or integrity of the Services.
5. Is not liable for partners
Jamcard is not responsible for, and does not control:
- decisions made by third-party partners, including KYC/AML approval or rejection;
- card issuance, payment processing, or transaction settlement;
- blockchain interaction, network conditions, or gas fees;
- reliability, accuracy, security, or availability of partner platforms;
- any losses, fees, or damages arising from actions or inactions of partners.
Each partner operates independently under its own legal and regulatory obligations.
6. Provides support
Jamcard offers:
- in-app customer support,
- email support at specified hours,
- guidance on platform usage and navigation.
Our support team cannot override partner decisions, access KYC documents, or provide legal or financial advice.
9.2 What Jamcard Does Not Do
Jamcard does not:
- provide legal, tax, financial, investment, or trading advice of any kind;
- guarantee or facilitate the execution, completion, or settlement of any transaction, swap, payment, or card operation;
- custody, store, safeguard, or manage private keys, wallets, digital assets, card balances, or fiat funds;
- verify identity documents or conduct KYC/AML checks;
- hold regulatory or fiduciary responsibility for partner decisions.
For avoidance of doubt:
- All financial activity you engage in through partners is at your own risk.
- Jamcard does not intervene in disputes between you and any partner.
- Jamcard cannot accelerate, appeal, or modify verification or financial decisions made by partners.
10. User Liability for Actions and Content
You are fully responsible for:
- all actions taken via your account;
- any content you create, upload, submit, or share through the Services;
- compliance with all applicable laws when using the Services or Partner Services.
You agree that you will not submit content that:
- violates any applicable law or third-party rights;
- contains unlawful, harmful, offensive, or misleading material;
- contains malicious code, viruses, or other harmful components.
Jamcard does not constantly monitor all content, but reserves the right to remove or restrict any content that we reasonably believe violates these Terms or applicable law.
You agree to bear any legal consequences that arise from your content, transactions or communications performed through your account or devices.
11. Intellectual Property
11.1 Jamcard IP
All intellectual property rights associated with the Services—whether registered or unregistered—are the sole and exclusive property of JAM Platform LLC or its authorized licensors. This includes, without limitation:
- software, source code, backend systems, algorithms, libraries, and scripts;
- the design, structure, “look and feel,” layout, user interface, and user experience (UI/UX);
- visual assets, graphics, illustrations, animations, logos, icons, and branding elements;
- databases, data structures, schemas, models, and compilations of data;
- application programming interfaces (APIs), developer tools, documentation, and integration modules;
- website content, dashboard content, text, formatting, and audiovisual components;
- domain names, including io, associated subdomains, and any related digital assets;
- trademarks, service marks, trade dress, brand identity, and other proprietary rights.
All such intellectual property is protected by applicable copyright, trademark, trade secret, and other laws of the United States and international jurisdictions.
Nothing in these Terms grants you any ownership or proprietary interest in the Services or any Jamcard IP.
11.1.1 License Granted to You
Subject to your continued compliance with these Terms, Jamcard grants you a:
- limited,
- revocable,
- non-exclusive,
- non-transferable,
- non-sublicensable
license to access and use the Services solely for your personal or internal business purposes.
This license does not include any rights to:
- commercially exploit the Services;
- resell, redistribute, or sublicense access to the Services;
- modify, copy, or replicate the Services or any component thereof.
Jamcard may revoke this license at any time if you violate these Terms or misuse the Services.
11.1.2 Restrictions
Except where explicitly permitted by mandatory law, you agree not to:
a) Copying or Reproduction
- copy, reproduce, duplicate, or archive any part of the Services or Jamcard IP;
b) Modification
- modify, adapt, translate, or create derivative works based on the Services;
c) Reverse Engineering
- reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, architecture, or underlying algorithms of the Services;
d) Removal of Notices
- remove, obscure, or alter any copyright notices, proprietary notices, watermarks, branding, or legal disclaimers;
e) Unauthorized Access
- access the Services via automated scripts, bots, scrapers, or similar methods (except where expressly permitted by documented APIs);
f) Misuse of Branding
- use Jamcard’s name, trademarks, service marks, domain names, logos, or branding elements without prior written authorization from JAM Platform LLC.
Unauthorized or improper use of Jamcard intellectual property may result in civil or criminal liability.

11.2 User Content
You retain ownership of any content you submit (e.g., messages, images, profile information), subject to the following license:
By submitting content, you grant Jamcard a non-exclusive, worldwide, royalty-free license to:
- store, process, reproduce, and display such content;
- use it to operate, maintain, and improve the Services;
- show it to other users or partners as necessary to fulfill the functionality of the Services.
This license is limited to the purposes of providing and improving the Services and does not grant Jamcard rights to commercialize your content independently.
12. Prohibited and Restricted Activities
In addition to the obligations above, you specifically agree not to:
- use the Services as a means to coordinate, promote or engage in money laundering, fraud, or any other financial crime;
- bypass or attempt to bypass any KYC/AML requirements imposed by partners;
- use false identities, documentation, or credentials;
- manipulate market data, artificially inflate trading volumes, or misrepresent asset information;
- exploit bugs or vulnerabilities in Jamcard or Partner Services.
We may, at our discretion, report suspected illegal activities to competent authorities or relevant partners.
13. Suspension and Termination
Jamcard may, with or without notice, suspend or terminate your access to the Services (including freezing or closing your account) if:
- you violate these Terms or applicable law;
- we suspect fraud, abuse, or unauthorized access;
- you fail to complete or pass required KYC/AML checks with a partner;
- we are required to do so by law, regulation, or partner request;
- we decide to discontinue the Services or a particular feature.
In case of suspension or termination, we may:
- notify you via email where reasonably possible;
- cooperate with partners or authorities if required.
If your account is suspended due to suspected violation, restoration may be possible after additional checks and at our sole discretion.
You may stop using the Services at any time and may request account deletion as described in our Privacy Policy.
14. Changes to these Terms
Jamcard may update or modify these Terms from time to time.
- Updated Terms will be published on the website and/or in the app at least 7 days before they become effective, unless immediate changes are required by law or security reasons.
- If the changes are material, we may also notify you by email or in-app notification.
- Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
- If you do not agree to the updated Terms, you must stop using the Services and may request account deletion.
15. Disclaimers
To the maximum extent permitted by law:
- The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.
- Jamcard disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any guarantees of uninterrupted or error-free operation.
- Jamcard does not warrant the accuracy, completeness, timeliness, or reliability of any market data, token information, or content provided by third parties.
- Jamcard does not control and is not responsible for any actions, decisions, or services provided by third-party partners, including KYC providers, card issuers, or liquidity providers.
You acknowledge that use of the Services and Partner Services involves inherent risks, including technology failures, blockchain risks, and third-party dependencies.
16. Limitation of Liability
To the maximum extent permitted under applicable law, you acknowledge and agree to the following limitations:
16.1 Exclusion of Damages
Jamcard, its parent company, directors, officers, employees, agents, licensors, and affiliates (collectively, the “Jamcard Parties”) shall not be liable to you or any third party for any:
- indirect,
- incidental,
- consequential,
- special,
- punitive, or
- exemplary damages,
including, without limitation:
- loss of profits, revenue, or business opportunities;
- loss of data, corruption of data, or inability to access data;
- loss of anticipated savings;
- loss of goodwill;
- business interruption or downtime;
- replacement costs or procurement of substitute services;
- loss resulting from system failure, malfunction, or inability to use the Services or Partner Services;
- loss caused by third-party providers, blockchain networks, or any external systems.
These exclusions apply whether or not Jamcard was informed of, knew of, or should have known of the possibility of such damages.
16.2 Cap on Liability
To the fullest extent permitted by law, Jamcard’s total aggregate liability for any and all claims arising out of or related to:
- these Terms,
- the Services,
- your use or inability to use the Services,
- any interactions with third-party partners,
- or any other claim whatsoever,
shall not exceed the greater of:
- USD 100, or
- the total amount you have paid directly to Jamcard for paid features during the two (2) months immediately preceding the event giving rise to the claim, if any.
If you have not paid for any Jamcard features, Jamcard’s maximum liability is USD 0 except where otherwise prohibited by law.
16.3 Allocation of Risk
You acknowledge that:
- the limitations in this Section are a fundamental basis of the bargain between you and Jamcard;
- the Services are provided in reliance on these limitations;
- Jamcard would not be able to offer the Services without such limitations.
16.4 Exceptions
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
This may include, in some jurisdictions:
- liability for death or personal injury caused by negligence;
- liability for fraud or intentional misconduct;
- liability that cannot legally be disclaimed under consumer protection laws.
To the extent such mandatory legal protections apply, Jamcard’s liability is limited to the minimum extent permitted by law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Jamcard, its parent entity, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “Jamcard Parties”) from and against any and all:
- claims, demands, actions, suits, or proceedings;
- liabilities, fines, penalties, losses, or damages of any kind;
- costs and expenses (including reasonable attorneys’ fees, court costs, and investigation expenses);
arising out of or relating to any of the following:
17.1 Your Use of the Services or Partner Services
Any use of the Services, Partner Services, or integrations by you or by any person accessing the Services through your account or devices.
17.2 Your Breach of these Terms
Any actual or alleged breach of:
- these Terms,
- the Privacy Policy,
- any supplemental guidelines or policies issued by Jamcard.
17.3 Violation of Laws or Regulations
Any violation of:
- applicable local, state, federal, or international laws;
- financial, sanctions, export control, AML/CTF, or regulatory requirements;
- data protection or privacy laws;
- consumer or cybersecurity laws.
17.4 Violation of Third-Party Rights
Any infringement, misappropriation, or violation of intellectual property rights, privacy rights, publicity rights, or any other rights of a third party.
17.5 Content or Actions Performed Through Your Account
Any content you submit, upload, transmit, share, or make available through the Services, including:
- inaccurate, unlawful, or misleading information;
- harmful, fraudulent, or unauthorized actions;
- activities performed via compromised accounts (unless caused by Jamcard’s negligence).
17.6 Use of Wallets, Blockchain Interactions, and Credentials
Any claims arising from:
- your connection of external wallets;
- public blockchain interactions initiated by you;
- loss of private keys, seed phrases, or wallet credentials;
- unauthorized access due to failure to secure your devices.
17.7 Disputes with Third-Party Partners
Any dispute, claim, or issue between you and a third-party provider, including:
- KYC/AML providers (e.g., SumSub),
- card issuers or payment processors (e.g., CipherBC/HyperPay),
- blockchain liquidity providers,
- hosting or analytics partners.
Jamcard is not a party to such disputes and assumes no responsibility for partner decisions or actions.
17.8 Jamcard’s Right to Assume Defense
Jamcard reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification.
If Jamcard exercises this right:
- you agree to fully cooperate with the defense;
- you may not settle any claim without Jamcard’s prior written consent;
- Jamcard may use counsel of its own choosing.
Your indemnification obligations remain in effect regardless of:
- account closure,
- suspension or termination of access,
- your cessation of use of the Services.
18. Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to them, shall be governed by the laws of the State of Delaware, USA, without regard to conflicts of law principles.
Any dispute, controversy, or claim between you and Jamcard that cannot be resolved amicably shall be brought exclusively in the state or federal courts located in the State of Delaware (USA), unless applicable law requires another forum. You and Jamcard consent to the personal jurisdiction of such courts.

20. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jamcard regarding the Services.
- Severability: If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect.
- No Waiver: Failure by Jamcard to enforce any right or provision shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Jamcard may assign these Terms in connection with a merger, acquisition, or sale of assets.
